BY-LAWS

Article I. Name and Composition
    Section A: Name
    The name of this non-profit organization shall be The Greater New York Association of Directors of Volunteer Services (hereinafter called The Association).

    Section B: Composition
    The Association is composed of the membership and led by a Board of Directors elected through this membership.
Article II. Mission Statement

The mission of the association is to contribute to the principals and practice of sound volunteer administration in health care organizations, to promote the profession of volunteer administration and to foster the professional development of its members.

Article III. Membership
    Section A: Full Membership
    Full membership shall be open to individuals employed in a health care organization who have primary responsibility for administering the volunteer program. Full members have the right to vote, serve on committees, and hold elected office.

    Section B: Associate Membership
    Associate membership shall be open to the following individuals:
    • Full members of other chapters of NYSADVS.
    • Salaried persons in health care organizations whose secondary responsibility is to administer the volunteer program.
    • Former members of The Association not presently eligible for full membership but who wish to retain membership in The Association. Associate members may serve on committees, but may not vote or hold elective office.

    Section C: Honorary Membership
    Individuals who have made an outstanding contribution to The Association, or to volunteerism, may be designated honorary members through a recommendation of the nominating committee, which has been approved by the Board and presented on a slate for election by the general membership. Honorary members shall not be required to pay dues. Honorary membership is a lifetime appointment. Such members shall be invited to all membership meetings. They may not vote or hold elective office, but may serve on committees and shall receive all membership services.

    Section D: Annual Dues
    Dues for full and associate members shall be determined by The Association. Dues shall be payable to the treasurer of The Association upon joining and thereafter upon presentation of the dues notice. Annual dues must be received by the treasurer no later than December 31st in order to remain a member in good standing GNYADVS and NYSADVS. Membership shall remain with the organization or individual who pays the annual dues.
Article IV: Officers
    Section A: Composition
    The officers of the organization shall be the president, the vice-president, treasurer, and secretary.

    Section B: Eligibility
    Only full members in good standing who have been full members for at least one year prior to the nomination shall be eligible for elective office in The Association. The nominee for president must have at least two years of Board experience. No officer shall be eligible to serve more than two consecutive terms.

    Section C: Term of Office
    The term of office for president, vice-president, treasurer and NYSADVS chapter representative shall be two years. The term of office for secretary and members-at-large shall be one year beginning upon their installation at the annual meeting of the Association.

    Section D: Vacancies
    If the office of the president becomes vacant or the president becomes ineligible, the vice-president shall immediately accede to the presidency for the duration of the un-expired term. If both the president and vice-president should become unable to perform the duties of the office, the Board of Directors shall appoint a president pro-tempore from the membership of the Board to serve for the remainder of the term. The Board shall fill other vacancies from candidates recommended by the nominating committee.
Article V. Board of Directors
    Section A: Composition
    The board shall consist of: the president, vice president, secretary, treasurer, chairs of standing committees and ad-hoc committees, two (2) members-at-large and the NYSADVS chapter representative who serves ex-officio without vote.

    Section B: Duties
    The Board of Director is responsible for developing and implementing policies and directing the affairs of the Association in accordance with the by-laws. It is responsible for developing written guidelines and policies to direct its work and the work of committees. It is responsible for reporting to the membership at the membership meetings and for producing an annual report for distribution at the Annual Meeting.
Article VI. Meetings
    Section A: Frequency
    1. The general membership of the Association shall meet not less than four (4) times each year.
    2. The Board of Directors shall meet not less than four (4) times each year.

    Section B: Notification
    Members shall be notified by first class mail of the site and time of general membership meetings at least four weeks prior to each meeting.

    Section C: Quorum
    1. Twenty-five percent (25%) of the full membership shall constitute a quorum at any regular or special meeting of The Association.
    2. One half of the membership of the Board shall constitute a quorum at any regular or special meeting of the Board.
Article VII. Elections
    Section A: Method
    All officers, the nominating committee chair, the two members-at-large, the three members of the nominating committee, and one representative to the NYSADVS Board shall be elected by written ballot. The nominating committee shall establish a procedure to ensure the validity and secrecy of each returned ballot.

    Section B: Preliminary Slate
    The nominating committee shall mail to each eligible voting member a proposed slate of nominees not less than sixty days before the date of the annual meeting.

    Section C: Nominating by Petition
    Nominees may be added to the slate by a written petition from ten full members of The Association post marked no later than fifteen days after the date of the mailing preliminary slate.

    Section D: Final Ballot
    A final ballot shall be mailed to all eligible voting members no later than thirty days before the date of the annual meeting.

    Section E: Election Results
    The nominating committee shall be responsible for notifying the candidates of the results of the election.
Article VIII. Membership Year

The membership year, which coincides with the fiscal year, shall be the period between January 1st and December 31st.

Article IX. Amendments

These by-laws, with the exception of Article XII, may be amended by affirmative vote of two-thirds of the voting membership at any regular meeting at which a quorum is present, provided that notification of such proposed amendments is distributed to the voting membership at least two weeks in advance.

Article X. Parliamentary Authority

The most recent edition of Roberts Rules of Order shall be the parliamentary authority in all-procedural matters not otherwise provided for by the policies of the Association.

Article XI. 501 (c) (3) Limitation Clause

The Association is organized exclusively for one or more of the purposes as specified in Section 501(c) (3) of the Internal Revenue Code of 1954 pertaining to activities of organizations exempt from Federal income tax.

In the event of dissolution or liquidation of the Association, all the remaining assets and property (after discharging of all liabilities) shall be turned over to one or more tax exempt organization(s) as described in Section 501 (c) (3) of the Internal Revenue Code of 1953 or any subsequent provisions of Federal law. Remaining assets may also be turned over to the Federal government or to state or local governments for public purposes.
